1. Agreement to Terms
By accessing or using Solvra's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Services Description
Solvra provides professional web development, AI integration, and workflow automation services. Our services include but are not limited to:
- Custom web application development
- AI and machine learning integration
- Business process automation
- Technical consulting and support
- Maintenance and optimization services
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for project completion
- Respond to communication and requests in a timely manner
- Make payments according to the agreed-upon schedule
- Maintain confidentiality of any sensitive information shared during collaboration
- Not use our services for any illegal or unauthorized purpose
4. Payment Terms
Payment terms are established at the beginning of each project. Typically, we require a 50% deposit before work begins, with the remaining balance due upon project completion. For larger projects, milestone-based payment schedules may be arranged. All payments are due within 14 days of invoice date unless otherwise specified.
5. Intellectual Property Rights
Upon full payment, all custom code and designs created specifically for your project become your property. However, Solvra retains the right to use general methodologies, frameworks, and knowledge gained during the project for future work. Any pre-existing intellectual property or third-party tools integrated into your project remain the property of their respective owners.
6. Project Timeline and Delays
While we strive to meet all agreed-upon deadlines, project timelines are estimates and may be subject to change due to unforeseen circumstances, scope changes, or delays in receiving necessary materials from clients. We will communicate any anticipated delays promptly and work to minimize their impact.
7. Warranty and Support
We warrant that all services will be performed in a professional and workmanlike manner. Bug fixes and minor adjustments during the agreed-upon support period are included in the project cost. Additional support, maintenance, or feature additions beyond the initial scope require separate agreements.
8. Limitation of Liability
Solvra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This obligation continues beyond the termination of the project unless the information becomes publicly available through no fault of the receiving party.
10. Termination
Either party may terminate the agreement with written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Solvra will deliver all completed work and materials upon receipt of payment.
11. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any such changes constitutes acceptance of the new terms.
